1099 Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") is entered into between Villz Company ("Villz," "we," or "us") and you, the service provider ("Artist," "you"). By accepting this Agreement you confirm that you are engaging with Villz as an independent contractor and not as an employee.
1. Independent Contractor Status
You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. You are not entitled to employee benefits, and you retain sole control over the manner, means, schedule, and methods by which you perform services. You may accept or decline any service request at your discretion.
2. Taxes and Expenses
You are solely responsible for reporting and paying all federal, state, and local taxes on your earnings, including self-employment tax. Villz will report your earnings on IRS Form 1099 where required by law. You are responsible for your own tools, supplies, equipment, licensing, and business expenses.
3. Licensing, Insurance, and Compliance
You represent and warrant that you hold and will maintain all licenses, certifications, and permits required to perform the services you offer, and that you will perform them in compliance with all applicable laws, health and safety regulations, and professional standards. You are responsible for maintaining any liability or professional insurance appropriate to your services.
4. Payments and Payouts
Villz facilitates payment from Customers and payouts to you through its third-party payment processor. You must complete that processor's onboarding and identity-verification requirements before receiving payouts. Commission rates and platform fees applicable to your services are disclosed within the Platform and may change with notice.
5. Conduct and Termination
You agree to perform services professionally, safely, and lawfully, and to treat Customers with respect. Either party may terminate this Agreement at any time. Villz may suspend or terminate your access for violations of this Agreement, the Terms of Service, or applicable law. Provisions relating to taxes, indemnification, and limitation of liability survive termination.
6. Relationship to the Terms of Service
This Agreement supplements the Villz Terms of Service and Privacy Policy. Where this Agreement conflicts with the Terms of Service with respect to your status or obligations as an Artist, this Agreement controls.
